These Terms of Use constitute a legally binding agreement between you and SigFact. By creating an account, subscribing to a plan, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Billing & Refund Policy. We may update these Terms from time to time. When we make material changes, we will notify you by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.

SigFact is a signal intelligence and workflow product that provides structured company-signal monitoring, cross-language intelligence, and editorial workflow support based on official and verified source material. SigFact is not a brokerage, research analyst firm, law firm, or regulated advisory service. The Service organizes, summarizes, classifies, and presents signals from source material to support your monitoring and analysis workflows. The Service includes free and paid subscription tiers, each with different levels of access to features, data, and tools.

You must be at least 18 years of age to use the Service. By creating an account, you represent that you meet this age requirement and that the information you provide is accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. SigFact is not liable for any loss arising from unauthorized access to your account where such access was not caused by our negligence.

SigFact offers free and paid subscription tiers. Paid subscriptions include a 7-day free trial period. A valid payment method is required to start the trial. Unless you cancel before the trial period ends, your subscription will automatically convert to a paid plan and you will be charged. Paid subscriptions renew automatically at the end of each billing period unless cancelled. You may cancel your subscription at any time through your account settings or by contacting support. You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not: • Use the Service for any unlawful, fraudulent, or harmful purpose. • Scrape, crawl, or use automated means to extract data from the Service without our prior written consent. • Resell, redistribute, or sublicense access to the Service or its content without authorization. • Reverse engineer, decompile, or disassemble any part of the Service. • Attempt to gain unauthorized access to any systems, networks, or accounts associated with the Service. • Interfere with or disrupt the integrity or performance of the Service. • Use the Service in any manner that could damage, disable, or impair the Service or interfere with any other party's use. We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these terms of acceptable use.

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, data compilations, software, editorial outputs, and the overall design and structure, are owned by SigFact or its licensors and are protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes only. You may not copy, reproduce, distribute, or create derivative works from the Service content except as expressly permitted by your subscription tier. Signal content presented by SigFact may reference or summarize third-party source material. Such references are provided for informational purposes and remain the intellectual property of their respective owners.

SigFact organizes, summarizes, classifies, and presents signals derived from company and industry source material. While we strive for accuracy and timeliness, we do not guarantee: • Completeness of coverage across all companies, industries, or geographies. • Uninterrupted or error-free signal monitoring. • Accuracy of every classification, summary, or editorial interpretation. • That all relevant signals will be captured or presented in real time. Content may be updated, modified, or removed over time as sources change or as we refine our editorial processes. Signal content should be used as one input among many in your professional workflow, not as a sole basis for decision-making.

SigFact content is for informational purposes only and does not constitute investment, legal, tax, accounting, or other professional advice. Nothing in the Service should be interpreted as a recommendation to buy, sell, or hold any security, or as a solicitation of any financial transaction. Users are solely responsible for their own decisions, evaluations, and actions based on use of the Service. We strive to maintain the Service's availability, but we do not guarantee uninterrupted, timely, or error-free access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will make reasonable efforts to notify users of significant changes that may affect their use of the Service.

We may suspend or terminate your access to the Service at any time if you violate these Terms or for any other reason at our sole discretion, with or without notice. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SIGFACT DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. We do not warrant that the Service will meet your specific requirements, that signal coverage will be complete or uninterrupted, or that any errors or defects will be corrected. No information or advice obtained through the Service creates any warranty not expressly stated in these Terms.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SIGFACT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: • Loss of profits or revenue • Loss of data or business opportunities • Business interruption • Reliance damages • Decision-related losses • Investment losses or missed opportunities ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY. Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim. This limitation applies regardless of whether the claim is based on contract, tort, strict liability, or any other legal theory.

You agree to indemnify, defend, and hold harmless SigFact and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: • Your use of the Service. • Your violation of these Terms. • Your violation of any applicable law or regulation. • Any content you submit or transmit through the Service. • Your infringement of any third-party rights. This indemnification obligation shall survive the termination of these Terms and your use of the Service.

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the courts of Hong Kong.
